Terms of Use and Privacy
Last updated: October 30, 2026
In short: TrueUp is a free tool that gives estimates. It is not legal or financial advice, it does not act for you, and it does not guarantee any result. You review and send your own request, and you keep paying your funder until it confirms a change in writing.
TrueUp is a free tool operated by Sumeria Factory S.A.S., a company organized under the laws of Uruguay ("Sumeria", "we", "us"). These Terms of Use and the Privacy section below (together, the "Terms") apply to your use of TrueUp at mca-reconciliation.pages.dev and to any request you send us through our forms. By using TrueUp or sending us a form, you agree to these Terms. If you do not agree, do not use TrueUp.
Terms of Use
1. What TrueUp is
TrueUp reads a merchant cash advance agreement and bank data that you choose to provide, estimates a payment based on the percentage stated in your agreement and the deposits you enter, and drafts a reconciliation request that you can edit and send yourself. If the tool cannot read your files, you can choose to send them to us, and we will email you the same kind of estimate and draft. TrueUp is not affiliated with any funder.
2. Not legal, financial or tax advice
TrueUp is not a law firm, a debt relief or debt settlement company, a credit repair organization, a lender or a broker. We do not give legal, financial, tax or accounting advice, and using TrueUp does not create an attorney-client, advisory, agency or fiduciary relationship. We do not contact, negotiate with or act for you before your funder or anyone else. You decide whether and how to use any result or draft. For advice about your situation, talk to a licensed attorney or advisor.
3. Results are estimates
Results depend on what you provide and on automated reading that can be wrong. Agreements differ, and your funder may calculate receipts, business days or the reconciliation differently. We do not guarantee that any result is accurate or complete, that your agreement gives you a right to a reconciliation, or that your funder will respond, adjust your payment or credit any amount. Review every number and every word before you send anything.
4. Your responsibilities
You confirm that you have the right to use and share the documents you provide, that the information you enter is accurate, and that you will use TrueUp only for lawful purposes and only for your own business or a business you are authorized to represent. Keep making the payments required by your agreement unless your funder confirms a change in writing. You alone are responsible for what you send to your funder or anyone else, and for its consequences.
5. Free service, provided as is
TrueUp is free. It is provided "as is" and "as available", without warranties of any kind, express or implied, including warranties of accuracy, merchantability, fitness for a particular purpose and non-infringement. We may change, suspend or discontinue TrueUp, or stop answering form requests, at any time and without notice.
6. Limitation of liability
To the maximum extent permitted by law, Sumeria and its owners, directors, employees and contractors will not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages; for any lost profits, revenue, savings or data; or for any default, collection action, account freeze, fee or other action taken by your funder or any third party, arising out of or related to TrueUp, its results or drafts, or these Terms, even if we were told such damages were possible. Our total liability for any claim related to TrueUp will not exceed one hundred US dollars (US$100). Some jurisdictions do not allow certain limitations, so some of them may not apply to you.
7. Indemnity
You agree to defend, indemnify and hold harmless Sumeria and its owners, directors, employees and contractors from any claim, loss or expense, including reasonable attorneys' fees, arising from your use of TrueUp, the documents or information you provide, anything you send to a third party, or your breach of these Terms.
8. Services run by others
TrueUp relies on services run by others, including Cloudflare (hosting and visit statistics), Tally (forms and file uploads), cdnjs (the PDF reader) and Google Fonts. Their own terms and privacy policies apply to them, and we are not responsible for them.
9. Governing law and courts
These Terms are governed by the laws of the State of New York, without regard to its conflict-of-law rules. Any dispute related to TrueUp or these Terms will be brought only in the state or federal courts located in New York County, New York, and you and Sumeria consent to their jurisdiction.
10. Changes
We may update these Terms. The date at the top shows the current version. If you keep using TrueUp after a change, you accept the updated Terms.
11. Contact
For questions, legal notices or data requests, use our contact form.
Privacy
What stays on your computer
The calculator reads your agreement and bank files inside your browser. We do not receive or store them.
What we collect
Visit statistics from Cloudflare Web Analytics, which does not use cookies and does not identify you. If you use one of our forms: your email, what you write, the files you upload and, in the help form, a short code that says why the tool could not read your files. Our forms are run by Tally, which stores this information for us.
How we use it
Only to answer you and to improve TrueUp. We do not sell your information, and we do not share it except with the services that run TrueUp or when the law requires it.
How long we keep it
We delete the files you send through the help form after we reply, and in any case within 30 days. We keep your email and messages only as long as we need them to answer you.
Your choices
You can ask us to delete your information at any time through the contact form.
Who TrueUp is for
TrueUp is for business owners. It is not directed to anyone under 18.
